What is a resident agent?

Resident agent (aka registered agent) is a term many business owners may have never heard before, and to learn that a resident agent is required when you incorporate a business or register to transact business in another state (foreign qualify) may be a surprise to some.

The resident agent is responsible for important legal and tax documents on behalf of incorporated companies, such as:

• Important state mail, such as annual reports or statements
• Tax documents sent by the state’s department of taxation
• Service of Process—sometimes called Notice of Litigation—which initiates a lawsuit

The resident agent must have a physical address (not a P.O. Box) in the state of incorporation or qualification and must be available at that address during normal business hours.
